1. Definitions
In these Terms and Conditions the following terms carry the meanings given below:
- "Company" / "We" / "Us": Sukjai Tech Co., Ltd., registered in Thailand, 91 Phetkasem Road, Soi 69, Nong Khaem, Bangkok 10160.
- "User" / "Client": Any individual or organisation accessing our website or entering a service agreement with us.
- "Services": AI Feasibility Study, Computer Vision for Retail and Inventory, and AI Train-the-Trainer Certification Program.
- "Agreement": The binding contract formed upon acceptance of a written service proposal and payment of applicable fees.
- "Deliverable": Any report, model, training material, or documentation produced as part of a contracted Service.

2. Acceptance of Terms
By accessing our Website or submitting an enquiry you agree to be bound by these Terms and Conditions. If you do not agree, please discontinue use of the Website immediately. Use of our Services is limited to individuals aged 18 or over who have the legal authority to enter into binding agreements on behalf of their organisation.
3. Service Description
Sukjai Tech provides AI consulting, technical deployment, and training services to businesses operating in Thailand and the wider Southeast Asian region. Our three core services are described in detail on our Solutions page. Services are provided subject to a written engagement agreement that defines scope, timeline, deliverables, and fees. Website descriptions represent general offerings and are not binding until confirmed in a signed engagement document.
We reserve the right to decline any engagement request at our discretion without obligation to provide a reason.
4. User Responsibilities
When using our Website or engaging our Services you agree to:
- Provide accurate and truthful information in all communications and forms
- Not use the Website for any unlawful, harmful, or misleading purpose
- Not attempt to access, copy, or reverse-engineer any proprietary systems or intellectual property of the Company
- Provide timely access to data, personnel, and systems required for contracted Services
- Ensure that data provided for AI training or analysis is lawfully held and does not violate third-party rights
5. Intellectual Property
All content on this Website — including text, graphics, methodology descriptions, and design — is the property of Sukjai Tech Co., Ltd. and is protected under applicable Thai intellectual property law. Deliverables produced as part of a contracted Service are licensed to the Client for their own internal business use following full payment. Underlying methodologies, frameworks, and templates remain the intellectual property of the Company unless explicitly transferred in writing.
Training materials provided through the Train-the-Trainer program are licensed to the Client for use within their own organisation. Redistribution to third parties or use for commercial training delivery outside the Client organisation requires prior written consent.
6. Payment Terms
All fees are quoted and invoiced in Thai Baht (THB) unless otherwise agreed in writing. Standard payment terms are:
- 50% deposit due upon signing the engagement agreement
- 50% balance due upon delivery of the final Deliverable
- Payment via bank transfer to the Company's designated account
- Invoices are due within 14 business days of issue
Late payments may incur a fee of 1.5% per month on outstanding amounts. Work may be paused if invoices remain unpaid beyond 21 business days. Deposits are non-refundable once work has commenced.
7. Service Delivery and Scope
All scope is defined in the written engagement agreement. The Company will not perform work outside agreed scope without a written change order confirmed by both parties. Timelines are estimates based on agreed assumptions. Delays caused by the Client — including delayed access to data or personnel — may extend the delivery timeline without affecting the Company's entitlement to fees.
8. Disclaimers
Our Services are provided on a professional best-efforts basis. The Company does not make representations about specific business outcomes, revenue impacts, or performance results that may follow from implementing our recommendations. The Website and its content are provided "as is" without warranty of any kind. We do not warrant that the Website will be uninterrupted or error-free.
9. Limitation of Liability
To the maximum extent permitted by Thai law, the Company's aggregate liability to a Client for any claim arising from a Service shall not exceed the total fees paid by the Client for that specific Service engagement. The Company shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunity.
10. Confidentiality
All engagements are conducted under a mutual Non-Disclosure Agreement signed prior to commencement. Both parties agree to treat each other's proprietary and confidential information with reasonable care and not to disclose it to third parties without prior written consent, except as required by law.
11. Termination
Either party may terminate an engagement with 14 days' written notice. In the event of early termination by the Client, the deposit is non-refundable and the Client is liable for fees proportional to work completed at the time of the termination notice. The Company may terminate immediately if the Client fails to provide necessary access or breaches these Terms materially.
12. Governing Law and Dispute Resolution
These Terms and any agreements entered under them are governed by the laws of the Kingdom of Thailand. The courts of Thailand shall have jurisdiction over any disputes. We encourage parties to first attempt resolution through direct communication. Where disputes cannot be resolved informally, they shall be subject to arbitration under the Arbitration Act B.E. 2545 (2002) of Thailand, unless both parties agree otherwise in writing.
13. General Provisions
These Terms constitute the entire agreement between the parties with respect to use of the Website and, together with the engagement agreement, govern contracted Services. If any provision of these Terms is found unenforceable, the remaining provisions continue in full force. A failure to enforce any right under these Terms does not constitute a waiver of that right. Neither party may assign rights or obligations under an engagement agreement without the prior written consent of the other party.
14. Changes to These Terms
We may update these Terms periodically. The revised version will be posted on this page with an updated "Last Updated" date. Continued use of the Website after changes are posted constitutes acceptance of the revised terms. Material changes will be highlighted prominently for a period of 30 days.
